Terms of Service for Prayer Guides

In addition to the Terms of Service (the "Terms") you agreed to, which you can read again by clicking or tapping here, by accessing or using the Services as a Guide, publishing content, accepting or providing a session, you agree to these additional terms (the "Guide Terms") and to any policies expressly incorporated into them, including our Privacy Policy, Cookie Policy, Copyright Dispute Policy, and any applicable Refund or Community Guidelines. These Guide Terms of Service are a binding agreement between you and Quiet Prayers LLC.
G1. Relationship to General Terms
These Guide Terms supplement and form part of Prayible's Terms of Service. All provisions of the Terms of Service continue to apply to you as a Guide. If there is a conflict between these Guide Terms and the Terms of Service regarding your activities as a Guide, these Guide Terms will control.
G2. Eligibility
You must be at least 18 years old to create a Guide account, publish prayers whether free or paid, accept personal prayer session bookings and conduct such sessions, and receive payouts for paid prayers and paid personal prayer sessions.
Eligibility to act as a Guide is based on your self-assessed ability to create, evaluate, reflect on, and draw meaningful insights from faith-based content within the faith tradition you identify with. Becoming a Guide does not constitute certification, ordination, endorsement, or verification by Prayible of your religious standing, faith background, qualifications, statements, conduct, or suitability.
G3. Independent Relationship
Guides are independent users of the platform and are not employees, agents, partners, joint venturers, representatives, or franchisees of Prayible. Guides decide the content, manner, availability, and, where permitted, pricing of their prayers and sessions, subject to these Guide Terms and platform rules.
Guides are solely responsible for complying with laws, professional or religious obligations, tax requirements, and other rules applicable to the services or content they provide.
G4. Published Guide Content
"Published Guide Content" means prayer content and other materials that you generate, create, edit, upload, record, submit or publish through the Services for access or use by other users. You retain ownership of your Published Guide Content, subject to the rights you grant in these Guide Terms. You grant Prayible a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to host, store, reproduce, technically modify, format, transmit, display, perform, distribute, and otherwise use Published Guide Content as reasonably necessary to operate, secure, provide, improve, and promote the Services. It also includes making the Published Guide Content available to users who are entitled to access it and displaying reasonable excerpts, titles, profile information, and previews in Prayible's own marketing and discovery surfaces, and to use the Published Guide Content to develop, train, test, evaluate and improve Prayible's AI systems.
Guides may not license, authorize, or otherwise permit any third party to reproduce, distribute, publish, commercially exploit, or otherwise use Published Guide Content outside the Services without Prayible’s prior written permission.
The license lasts while the content is published and thereafter to the extent necessary for previously purchased access, legal and transaction records, and other anonymized use expressly permitted by these Guide Terms.
You represent and warrant that you own or have all rights, permissions, releases, and licenses necessary for your Published Guide Content and Prayible's permitted use of them. This includes rights in recordings, music, photographs, artwork, quotations, scripture translations, performances, names, likenesses, and other third-party material.
G5. AI-Assisted Authoring
Guides remain responsible for reviewing, editing, and approving any AI-assisted draft content before publishing or using it with users. Use of AI features does not transfer responsibility for a Guide's published content or session statements to Prayible.
G6. Guide Payouts
Payments for prayers or sessions you opt to charge for will be processed by Prayible. You may not solicit or collect payment outside of Prayible. Once collected and processed, the total amount due to a Guide for a time period (“Guide Payout”) may be processed by Stripe or another payment provider. Guides may be required to create or maintain a connected payment account, complete identity or tax verification, and agree to the payment provider's applicable terms to receive the Payout.
Prayible may deduct a platform fee, currently of up to 35% of the applicable user payments, as well as refunds, reversals, chargebacks, taxes we are required to collect or remit, or other amounts authorized by these Guide Terms from amounts otherwise payable to a Guide. We may delay or withhold a payout when reasonably necessary to address fraud, disputes, chargebacks, legal requirements, payment-provider requirements, or violations of these Guide Terms.
Guide Payouts will be aggregated and ordinarily paid following a holding period of up to 30 calendar days measured from the date of each underlying user payment. Prayible may shorten or extend the holding period as reasonably necessary to facilitate payment operations, provided that the standard holding period will not exceed 60 calendar days. Individual payouts may be further delayed or withheld where reasonably necessary because of refunds, disputes, chargebacks, suspected fraud, payment-processing requirements, legal requirements, taxes, or other deductions or circumstances permitted under these Guide Terms.
Guides are responsible for determining, filing, and paying taxes applicable to their income or activities, except for taxes Prayible or a payment provider is legally required to collect, report, or remit.
Payout discrepancies should be reported promptly and, where permitted by applicable law, within 30 calendar days after the relevant payout so that Prayible can investigate.
G7. Guide Payouts for Sessions
You are entitled to payment only for personal sessions you attend and complete as booked, and which you opt to charge for. If you fail to attend a charged booked session, do not complete the session, or otherwise fail to provide the booked service, you will not be entitled to payment and the amount paid by the booking user will be refunded to them.
If a booking user raises a dispute regarding a session, Prayible may review the circumstances and withhold the related payout while the dispute is being reviewed. If Prayible reasonably determines that the booking user’s claim is valid, the Guide will not be entitled to the disputed payment and the applicable amount may be refunded to the booking user.
If the applicable Guide payout has already been made before a refund, chargeback, or dispute is resolved in favor of the booking user, Prayible may deduct or offset the applicable amount from any future Guide payouts or recover the amount from the Guide through another payment method permitted by law.
G8. Guide Account Deletion and Effect of Termination
You may request deletion of your account through the functionality made available in the Services or by contacting Prayible. Prayible may suspend or terminate access if you violate these Guide Terms, create legal or safety risk, misuse the Services, or where otherwise permitted by law.
Account deletion or termination does not automatically erase information that Prayible must retain for legal, tax, fraud-prevention, payment, dispute-resolution, security, or other legitimate purposes described in the Privacy Policy.
For Published Guide Content, Prayible may retain and display prayer content without the name and other identification of the Guide. We will also retain transaction or dispute records, and comply with law, or as otherwise disclosed at the time the content is published. Deletion of your account or Published Guide Content will not require Prayible to remove or reverse non-identifiable information, model parameters, or other learnings already incorporated into Prayible's AI systems through uses permitted under these Guide Terms. Prayible will handle personal data associated with retained content in accordance with the Privacy Policy and applicable law.
G9. Limitation of Liability and Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Prayible and its affiliates, officers, directors, employees, and agents from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from or relating to your Published Guide Content, your personal prayer sessions or other services provided through Prayible, your statements, representations, or conduct as a Guide, your infringement or violation of another person’s intellectual property, privacy, publicity, or other rights, your failure to obtain any rights, permissions, licenses, or consents required under these Guide Terms, your violation of applicable law, or your material violation of these Guide Terms. This obligation does not require you to indemnify Prayible for claims arising from Prayible’s own unlawful conduct.
You may not assign these Guide Terms without Prayible's prior written consent. Prayible may assign these Guide Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law, subject to applicable law.
Prayible will not be responsible for delay or failure caused by events beyond its reasonable control, except where applicable law provides otherwise.
